Christoph Rothenfußer is a partner in the Munich office of Milbank, Tweed, Hadley & McCloy, a member of the firm’s Corporate Group and part of the team founding this office in 2004.

Primary Focus & Experience

He focuses on corporate advisory, equity capital markets and public M&A transactions including corporate reorganizations and takeovers. He also represents clients in the context of actions of minority shareholders and appraisal proceedings following corporate reorganizations.

His recent major transactions include providing legal advice to:

  • Nordwind Capital on the IPO of SHW AG.
  • MAN SE in connection with the takeover by Volkswagen AG and the potential combination with Scania AB.
  • NYSE Euronext on the combination with Deutsche Boerse and related litigation by NYSE shareholders.
  • ProSiebenSat.1 Media AG on the sale of its Dutch and Belgian TV and print operations to a consortium of international media companies led by Sanoma Corporation.
  • Amerigon on the friendly takeover of publicly listed W.E.T. Automotive Systems AG.
  • Axel Springer AG on the placement of shares in the amount of 16.6% of its share capital with institutional investors.
  • Apax on the friendly takeover of publicly listed D+S europe AG and the subsequent squeeze-out of minority shareholders at D+S europe AG as well as the related corporate litigation.
  • RHI AG on the squeeze-out of minority shareholders at publicly listed Didier-Werke AG and the related corporate litigation.
  • Mayfair, the investment fund of the Herz family, on the PIPE transaction regarding PUMA AG.
  • The Carlyle Group on the sale of Honsel International Technologies to Ripplewood, Inc.

Recognition & Accomplishments

Mr. Rothenfußer is recommended for corporate law and corporate litigation by the German directory JUVE Handbuch.

He studied physics and law at the universities of Freiburg and Munich. He holds a doctorate degree in law from the University of Munich and is a graduate in physics from the University of Freiburg.

Mr. Rothenfußer is admitted to the German bar and speaks German and English.
