Tom Paschall is a senior associate in the Los Angeles office of Milbank, Tweed, Hadley & McCloy and a member of the firm’s Project Finance Group.
Primary Focus & Experience
Mr. Paschall is experienced in a variety of financial transactions including mergers and acquisitions of public and private companies, joint ventures and joint development arrangements, secured lending and licensing. Mr. Paschall's industry specialties include renewable energy, power generation and entertainment/media. Mr. Paschall further specializes in providing outside general counsel advice to companies of all sizes.
In the renewable energy industry, Mr. Paschall has a decade of experience in representing foreign and domestic renewable energy investors, developers and financial institutions in the development, acquisition and financing (including tax equity investment) of commercial scale wind and solar generation assets. His recent transactions include: counsel to Sybac Solar in its acquisition of 6 MW of Gainesville Regional Utilities’ solar feed-in-tariff (FIT) projects from New York Solar Authority Ltd; counsel to BayWa AG in its acquisition of 70% of the equity interests of Windkraft Nord USA’s 1 GW wind energy generation development portfolio; counsel to a leading Chinese solar company in the acquisition of a 60 MW solar portfolio in California; counsel to Sharp Corporation in the $305 million acquisition of Recurrent Energy, LLC; and counsel to Infigen Energy in over $1 billion of wind energy assets.
In the sports entertainment/media industry, Mr. Paschall has provided ongoing corporate and intellectual property representation of companies around the world, including Zuffa, LLC, owner of the Ultimate Fighting Championship® (UFC®) brand of mixed martial arts events and other companies. Mr. Paschall served as transactional and intellectual property counsel to Zuffa in a variety of M&A and licensing transactions.
Recognition & Accomplishments
Mr. Paschall earned his J.D. from the University of Southern California and received his B.A. from Duke University. Mr. Paschall is a regular speaker at energy industry conferences and has presented at American Wind Energy Association (AWEA) workshops, American Council on Renewable Energy (ACORE) conferences, the World Congress on Industrial Biotechnology and Bioprocessing, Infocast renewable energy events and the Energy & Environment Conference (EUEC), among other events.
